Equity Expansion Opportunity – Capital Raise for Growth


Prime Resources Company Limited (PRC) is undertaking a strategic capital raise aimed at increasing the company’s value to approximately NZD $120 million. To achieve this, PRC is offering new equity placements valued at up to NZD $60 million, representing an opportunity for incoming investors to participate in the growth of the company.

Individual placements are available from NZD $5 million to NZD $25 million, and proceeds will be used to accelerate PRC’s city-fringe apartment development pipeline and increase operational scale. Incoming equity partners will be issued new shares proportionate to their contribution, with full participation in project performance, governance, and distributions. PRC targets investor returns of approximately 30% or more per development cycle, typically every 2.5 years or less.

Direct investors as Equity Partners shall have the following benefits:

1. Equity Shareholder Security & Exit Rights

Each equity shareholder will be entitled to select apartments equal to their investment cap within the 15 Nugent Street development—scheduled for completion in 2027—based on the layout plans available at www.15nugent.com.

The selected apartments will serve as security for the shareholder’s investment. Upon registration of the title certificate, the shareholder may elect to sell the apartment. If presale agreements are secured during the designated presale period, shareholders may take the benefit of the associated sale. Otherwise the decision to retain or sell the apartment shall be at the sole discretion of the individual equity shareholder.


2. Management Participation Rights

A Substantial Equity Shareholder may be eligible, through a shareholder resolution passed at the annual meeting, to be appointed to a management or governance position within the company. Subject to shareholder approval and compliance with relevant governance protocols, this may include appointment as Chief Executive Officer (CEO), Chief Financial Officer (CFO), or as a Director of Prime Resources Company Limited.
